Official Contest Rules

Quepasa (the "Sponsor") invites eligible individuals to enter into and participate in the 2011 Quepasa Cyber Girl of the Month Contest (the "Contest").

1.No purchase or entry fee is necessary to enter or win.

2.The Contest is open to persons who are 18 years of age or older (excluding legal residents of New York, New Jersey and Rhode Island and where prohibited by law).

3 One entry per person. One entry per email address. Multiple entries from the same person or email address will disqualify the contestant from the Contest. Any application not complying with all Official Contest Rules is subject to disqualification at the Sponsor’s sole discretion.

4.The odds of winning depend on number of entries received prior to the Deadline (as defined below).

5.All submitted materials become the exclusive property of Quepasa Corporation and will not be returned. By submitting a completed application to www.quepasa.com, each contestant accepts and agrees to abide by and be bound by the terms and conditions of the Official Contest Rules.

6.The decisions of Quepasa Corporation are final in all matters relating to this Contest.

7.Quepasa Corporation’s interpretation of the Official Contest Rules shall be final.

8.Quepasa Corporation reserves the right to disqualify any of the selected finalists if that person does not meet any or all of the eligibility requirements despite any announcements or selections to the contrary.

9.All contestants will be required to furnish a current government issued form of identification.

10.All contestants selected as Cyber Girls of the Month must have a current passport and must be able to travel as needed. CONTESTANTS ARE RESPONSIBLE FOR OBTAINING ANY NECESSARY VISAS TO PARTICIPATE IN THE CONTEST.

11.Tattoos are not acceptable unless they are small enough to be covered with make-up.

12.Any piercing must be removable.

13.Contestants must register on www.quepasa.com in order to be eligible for the Contest and follow the steps for submitting a complete Contest application. Incomplete applications will not be eligible for the Contest.

14.Voting Process – Voting will take place from January 1, 2011 to December 31, 2011 (the “Contest Period”). Contestants will accrue votes at www.quepasacorp.com on a monthly basis beginning at 12:00am MST on the first day of each month up to 11:59pm MST on the last day of each month. On the first day of every month at 12:00am MST, every contestant’s vote tally will start over at ZERO. Quepasa members may vote for as many different contestants as they want each day. However, each member may only cast one vote per contestant, per day.

15.One contestant will be selected as a Cyber Girl each month during the Contest Period. One of the three contestants who have accrued the most votes for the month as of 11:59p MST on the last day of the month will be selected as the Cyber Girl of the Month. The Quepasa Management team will make that selection. After a contestant is chosen as a Cyber Girl of the Month, she will no longer be eligible to receive votes in future months.

16.Once a contestant is selected as a Quepasa Cyber Girl of the Month, she will be notified via e-mail by Quepasa.com requesting further information so she can be highlighted on the contest homepage. She is REQUIRED to respond to the email within FIVE BUSINESS DAYS. Failure to do so, will result in surrendering her Cyber Girl of the Month status and another winner will be chosen.

17.By participating in the Contest, each contestant authorizes the use, without additional compensation, of her name and/or likeness and/or voice and/or photograph, and/or promotional and advertising purposes in any manner and in any medium (including, without limitation, radio broadcasts, newspapers and other publications and in television or film releases, slides, videotape, distribution over the Internet and picture data storage) that Quepasa Corporation may deem appropriate, unless prohibited by law.

18.Employees, directors, officers and agents of Quepasa Corporation, or any affiliated sponsors, their respective distributors, divisions and subsidiaries, licensed retailers, and the immediate family members of the above-mentioned employees, directors, officers and agent are not eligible to participate in the Contest.

19.Quepasa Corporation reserves the right to change the contest and rules at any time. Such change will be accompanied by announcements explaining the changes and will be reflected in an updated version of the Official Contest Rules at that time. Quepasa Corporation reserves the right, in its sole discretion, to cancel, suspend or modify the Contest if it becomes corrupted in any manner, or due to fraud or other occurrences beyond their control whereby the Contest cannot be conducted as originally planned.

20.Quepasa.com will begin accepting applications on January 1st, 2011.

21.The deadline for submitting an application to participate in the Contest is December 31st, 2011 at 11:59 p.m., Mountain Standard Time (“Deadline”).

22.Applications received after the Deadline will not be eligible to participate in the Contest.

23.Quepasa Corporation shall not be liable for applications that are lost prior to receipt by Quepasa.com, or applications that are not received prior to the Deadline.

24.By entering the Contest, each contestant represents that the photos submitted have never been published and have not previously won any other contest award, that the use thereof does not infringe upon any third party rights (including those of any photographer), are suitable for publication and the right to submit any photos is not restricted by copyright. Any application materials that defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights, including but not limited to containing any identifiable person’s copyrighted materials not owned by the contestant or any third party trademarks will be disqualified. Quepasa Corporation shall have the right to use, alter, assign or dispose of all Contest applications however it sees fit without approval of the contestants.

25.Quepasa Corporation reserves the right, in its sole discretion, to disqualify any individual found tampering (or attempting to tamper) with the application process, the website or the Contest. Any attempt by a contestant to deliberately damage Quepasa’s website or undermine the legitimate operation of the Contest is in violation of criminal and civil laws and should such an attempt be made, Quepasa Corporation reserves the right to seek remedies and damages from any such contestant to the fullest extent permitted by law, including criminal prosecution.

26.By participating, contestants agree to release Quepasa Corporation, and their respective subsidiaries and agents, including without limitation, their advertising and promotion agencies, and each of their respective directors, employees and officers, from any and all liability arising from or in connection with the participation in the Contest. By entering, contestants further agree that all issues and questions concerning the construction, validity, interpretation and enforceability of the Official Contest Rules, contestant’s rights and obligations, or the rights and obligations of the Sponsors in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the state of Florida, without giving effect to any choice of law or conflict of law rules (whether of the State of Florida or any other jurisdiction) which would cause the application of the laws of any jurisdiction other than the State of Florida. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Florida.

27.For the names of the Contest winners, send a self-addressed, stamped business size #10 envelope by January 15th, 2012 to Quepasa Corporation, 324 Datura Street, West Palm Beach, FL 33401.
